By using the Service, you agree to be bound by, and use the Service in compliance with, these Terms of Use. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE SERVICE. The terms "you," "your," and "yours" refer to you, the user of the Service, whether as a maker ("Maker"), a customer ("Customer"), or a visitor. The terms "Maker Marketplace," "we," "us," and "our" refer to Maker Marketplace LLC. We may periodically make changes to these Terms of Use. It is your responsibility to review the most recent version of these Terms of Use frequently and remain informed of any changes to it. You agree that your continued use of the Service after such changes have been published shall constitute your acceptance of such revised Terms of Use.

## The Maker Marketplace Platform
Maker Marketplace is an online marketplace that connects Makers — artisans, craftspeople, and creators of custom and handmade goods — with Customers seeking their products and services. The Service provides tools for listing products and services, communicating between Makers and Customers, processing transactions, and managing orders.
Maker Marketplace is not a party to the transactions between Makers and Customers. We provide the platform and tools to facilitate these transactions. Makers are independent sellers, not employees, agents, or representatives of Maker Marketplace.

## License to Use the Service
Subject to these Terms of Use, we grant to you a limited, personal, non-exclusive, non-transferable license to use the Service for your personal or business use (as applicable to your role as a Maker or Customer) and not for resale or further distribution. Your right to use the Service is limited by the terms set forth in these Terms of Use.
Except for this license granted to you, we retain all right, title, and interest in and to the Service, including all related intellectual property rights. The Service is protected by applicable intellectual property laws, including United States copyright law and international treaties.
Except as otherwise explicitly provided in these Terms of Use or as may be expressly permitted by applicable law, you will not, and will not permit or authorize third parties to: (a) reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of the Service; (b) rent, lease, or sublicense access to the Service; nor (c) circumvent or disable any security or technological features or measures of the Service.

## Access to the Service; Modifications
We do not provide you with the equipment to access the Service. You are responsible for all fees charged by third parties to access the Service (e.g., charges by internet service providers).
We reserve the right to modify or discontinue, temporarily or permanently, all or a part of the Service without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
We also reserve the right, in our sole discretion, to reject, refuse to post, or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to the Service at any time, for any or no reason, with or without prior notice, and without liability.
You must be 18 or older to register as a user or to use the Service.

## Maker Accounts and Obligations
### Registration and Account Security
To list products or services on the Maker Marketplace, you must register for a Maker account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are entirely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to immediately notify Maker Marketplace if your password is lost, stolen, disclosed to an unauthorized third party, or otherwise may have been compromised.
### Maker Representations
By registering as a Maker, you represent and warrant that: (a) you have the legal right and authority to sell the products and services you list on the Service; (b) your listings are accurate and not misleading; (c) you will fulfill orders in a timely and professional manner; and (d) you will comply with all applicable laws and regulations, including consumer protection, tax, and licensing requirements.
### Maker Subscription and Fee Tiers
Maker Marketplace offers the following fee structure for Makers, effective April 13, 2026:
**Transaction Fees.** A platform transaction fee of 11% applies to the gross transaction amount of every sale processed through the Service. Payment processing fees charged by our third-party payment processor (currently 2.9% + $0.30 per transaction, charged by Stripe) are applied in addition to the platform transaction fee. Transaction fees are deducted from the sale proceeds before disbursement to the Maker.
**Marketplace Tier.** To access the Service, including listings and the job board, Makers are required to maintain a Marketplace subscription at a rate of $4.99 per month, or $50.00 per year if paid annually, in addition to applicable transaction fees.
**Professional Tiers.** Makers who wish to participate in additional marketing and promotional services — including offline marketing, brand partnerships, paid marketing directed to their listings, affiliate marketing, and inclusion in trade program offerings — may elect to subscribe to a Professional tier at annual rates of $199, $599, or $999. The features and benefits included in each Professional tier are described on the Maker Marketplace memberships page at [www.maker-marketplace.com/memberships], which is incorporated into these Terms of Use by reference. Changes to Professional tier features and pricing are subject to the notice provisions set forth below.
**Transition Credit.** For the period from April 15, 2026 through December 31, 2026, Makers who subscribe to an annual Professional tier may receive a credit against their Professional tier subscription fee equal to the platform transaction fees (the 11% platform fee, excluding payment processing fees) they have paid during the same period, up to the cost of their Professional tier less the $50.00 annual Marketplace Tier fee. The Marketplace Tier fee is not eligible for credit and is due in all cases. For example, a Maker on the $199 Professional tier may receive up to $149.00 in transaction fee credits; a Maker on the $599 tier may receive up to $549.00; and a Maker on the $999 tier may receive up to $949.00. This transition credit applies only to annual Professional tier subscriptions interested in downgrading, and is not available to new Makers on the Marketplace Tier or on monthly billing. This transition credit expires on December 31, 2026, and does not apply to subscription periods beginning on or after January 1, 2027.
**Changes to Fees.** Maker Marketplace reserves the right to modify its fee structure, including transaction fee rates, subscription pricing, and tier features, with 30 days' prior written notice to affected Makers. Continued use of the Service after the effective date of a fee change constitutes acceptance of the new fees.

## Platform Communication Requirements
### On-Platform Communication
All communications between Makers and Customers related to products, services, orders, commissions, quotes, and transactions listed on or facilitated through the Service must occur through the Maker Marketplace messaging system. This requirement exists to protect both Makers and Customers by maintaining a documented record of all communications, enabling dispute resolution, and ensuring the safety and integrity of the marketplace.
### Prohibited Communication Conduct
Makers and Customers shall not use the Service messaging system to:
(a) Solicit, share, or request personal contact information for the purpose of conducting communications outside the Service, including but not limited to email addresses, phone numbers, mailing addresses, or social media handles;
(b) Direct or encourage another user to communicate through channels outside the Service, including but not limited to email, phone, text message, WhatsApp, or any social media platform;
(c) Share links or references to external websites, platforms, or services for the purpose of circumventing the Service's communication or transaction systems, including but not limited to competing marketplaces, social media profiles, or personal websites (links to the Maker's own maker-marketplace.com listing pages are permitted);
(d) Solicit, request, or arrange payment through any method other than the Service's integrated payment system, including but not limited to references to Zelle, PayPal, Venmo, Cash App, ACH transfers, wire transfers, bank transfers, direct deposit, cash payments, personal checks, or credit card payments processed outside the Service;
(e) Offer discounts, rebates, or other financial incentives conditioned on a Customer transacting outside the Service or communicating outside the Service.
### Enforcement of Communication Policies
Maker Marketplace employs automated systems to identify messages that may violate these communication policies. Enforcement is applied as follows:
**Warnings.** When a message is identified as potentially violating these communication policies, the sender will receive an automated notification explaining the policy and the nature of the potential violation. The message may still be delivered at Maker Marketplace's discretion during an initial grace period.
**Message Suppression.** If a Maker or Customer repeatedly violates these communication policies (defined as three or more violations within any 30-day period), messages containing prohibited content may be withheld from delivery. The sender will be notified that the message was not delivered and the reason why.
**Account Action.** Persistent or egregious violations of communication policies may result in additional account restrictions, suspension, or termination at Maker Marketplace's sole discretion, in accordance with the account termination provisions of these Terms of Use.
**Appeals.** If you believe a message was incorrectly flagged or withheld, you may contact support@maker-marketplace.com to request a review.

## Platform Transaction Requirements
### On-Platform Transactions
All transactions for products and services listed on or facilitated through the Service must be processed through the Maker Marketplace integrated payment system. Makers may not request, solicit, or accept payment through any channel outside the Service for any product, service, commission, or order that originated on or was facilitated through the Service.
### Payment Processing
Maker Marketplace uses Stripe as its third-party payment processor. To receive payments through the Service, Makers must connect a valid Stripe account to their Maker Marketplace profile. Maker Marketplace is not responsible for Stripe's terms of service, privacy practices, or actions. By using the Service's payment features, you agree to comply with Stripe's terms in addition to these Terms of Use.
### Disbursements to Makers
Payments received from Customers are disbursed to Makers according to the payout schedule established by Maker Marketplace, less applicable platform transaction fees and payment processing fees. Maker Marketplace reserves the right to withhold disbursements in cases of suspected fraud, pending disputes, or violations of these Terms of Use.
### Refunds and Disputes
Refund and dispute resolution policies for transactions processed through the Service are governed by the Maker Marketplace Refund and Dispute Policy, available at [www.maker-marketplace.com/refund-policy] [NOTE: This policy document must be created before these terms are published]. In the event of a dispute between a Maker and a Customer, Maker Marketplace may, at its sole discretion, mediate the dispute using records of on-platform communications and transactions. Maker Marketplace's decision in any mediated dispute is advisory and non-binding unless otherwise agreed by both parties.
### Taxes
Makers are solely responsible for determining and fulfilling their tax obligations arising from sales made through the Service. Maker Marketplace does not withhold taxes on behalf of Makers. Maker Marketplace may issue tax reporting documents (e.g., IRS Form 1099-K) as required by applicable law.

## Restrictions
You must comply with all applicable laws, including U.S. export control laws, when using the Service. Except as may be expressly permitted by applicable law or authorized by us in writing, you will not, and will not permit anyone else to: (a) store, copy, modify, distribute, or resell any of the information; audio, visual, and audiovisual works; or other content made available on the Website ("Website Content") or compile or collect any Website Content as part of a database or other work; (b) use any automated tool (e.g., robots, spiders) to use the Website or store, copy, modify, distribute, or resell any Website Content; (c) rent, lease, or sublicense your access to the Website to another person; (d) use the Website or Website Content for any purpose except for your own personal or authorized business use; (e) circumvent or disable any digital rights management, usage rules, or other security features of the Website; (f) use the Website in a manner that threatens the integrity, performance, or availability of the Website; (g) remove, alter, or obscure any proprietary notices (including copyright notices) on any portion of the Website or Website Content; or (h) attempt to circumvent, disable, or interfere with the Service's communication monitoring, transaction processing, or fee assessment systems.

We are not responsible or liable, directly or indirectly, for any damage or loss caused to you by your use of or reliance on any goods or services available through the third-party products, services, and websites.

## Submissions
The Service allows you and other third parties to post information, including reviews, comments, listings, and messages. Any opinions, advice, statements, services, offers, or other information that constitutes part of the content expressed or made available by third parties through the Service are those of the respective authors or producers and not of Maker Marketplace or its shareholders, directors, officers, or employees.
Maker Marketplace does not control the content posted by third parties via the Service and, as such, does not guarantee the accuracy, integrity, or quality of such content. You understand that by using the Service, you may be exposed to content that is offensive, indecent, or objectionable. Under no circumstances will Maker Marketplace, its shareholders, directors, officers, or employees be held liable for any loss or damage caused by your reliance on information obtained through the Service. It is your responsibility to evaluate the information, opinion, advice, or other content available.
You agree that Maker Marketplace is free to use any comments, information, ideas, designs, concepts, reviews, or any other material contained in any communication you may send to us (each, a "Submission"), including, without limitation, responses to questionnaires or through postings to the Service, without further compensation, acknowledgement, or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing, and marketing products and creating, modifying, or improving the Service. Furthermore, by posting any Submission on the Service, you grant us a perpetual, non-exclusive, fully paid, royalty-free, irrevocable, sublicenseable, worldwide license and right to display, use, perform, reproduce, modify, distribute, and create derivative works of the Submission in any media, software, or technology of any kind now existing or developed in the future. By posting or providing a Submission, you represent and warrant that: (i) you own all right, title, and interest in your Submissions or otherwise have the right to grant the license set forth herein; and (ii) the posting of your Submissions on or through the Service does not (and will not) violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person. You agree to pay all royalties, license fees, and any other monies owing to any person by reason of any Submission posted by you on or through the Service.

## Use Restrictions
You are solely responsible for any content and other material that you submit, publish, or display on the Service or transmit to Maker Marketplace or other Service users.
You will not use the Service to: (a) upload, post, email, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (b) harm Maker Marketplace or third parties in any way; (c) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (d) upload, post, email, or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships; (e) upload, post, email, or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party; (f) upload, post, email, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other forms of solicitation; (g) upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (h) interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service; (i) intentionally or unintentionally violate any applicable local, state, national, or international law or regulation; (j) "stalk" or otherwise harass another user; (k) write comments or messages that in any way refer to persons under 18 years of age in an inappropriate manner; (l) collect or store personal data about other users except as permitted by the Service's standard functionality; or (m) use the Service's communication or messaging features to circumvent the platform communication and transaction requirements set forth in these Terms of Use.

## Account Suspension and Termination
Maker Marketplace may, at its sole discretion, suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to: (a) violation of these Terms of Use; (b) repeated violation of platform communication or transaction policies; (c) fraudulent activity or suspected fraud; (d) failure to pay applicable fees; (e) extended inactivity; or (f) conduct that Maker Marketplace determines is harmful to other users, third parties, or the business interests of Maker Marketplace.
Upon termination: (a) all rights and licenses granted to you under these Terms of Use will immediately cease; (b) any outstanding fees owed to Maker Marketplace become immediately due and payable; (c) Maker Marketplace will disburse any undisputed funds owed to a Maker, less applicable fees and any amounts subject to pending disputes, within 30 days of account termination, subject to applicable legal and regulatory requirements.
You may terminate your account at any time by contacting support@maker-marketplace.com. Termination does not relieve you of obligations arising before the termination date, including outstanding fees, pending orders, and dispute resolution obligations.

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE SERVICE OR WEBSITE CONTENT, AND YOU RELY ON THE SERVICE AND WEBSITE CONTENT AT YOUR OWN RISK. ## Limitation of Liability
MAKER MARKETPLACE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF MAKER MARKETPLACE HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM YOUR USE OF THE SERVICE OR WEBSITE CONTENT. UNDER NO CIRCUMSTANCES WILL MAKER MARKETPLACE'S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO MAKER MARKETPLACE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). ## Copyright Infringement
If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us at legal@maker-marketplace.com and provide Maker Marketplace's copyright agent, in writing, the following information required by the Digital Millennium Copyright Act, 17 U.S.C. § 512: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed, including the URL of the location where the copyrighted work exists or a copy of the copyrighted work; (iii) identification of the URL or other specific location on the Service where the material that you claim is infringing is located; (iv) your address, telephone number, and email address; (v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

## Indemnity
You will indemnify and hold Maker Marketplace, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any costs, damages, expenses, and liability caused by your use of the Service, your violation of these Terms of Use, or your violation of any rights of a third party through use of the Service. For Makers, this indemnification extends to claims arising from products or services you sell through the Service, including product liability claims, intellectual property claims, and claims related to the accuracy of your listings.

## Updates to the Service and Terms of Use
We may occasionally update the Service and these Terms of Use. When we do, we will revise the "Last Updated" date on these Terms of Use. For material changes — including changes to fee structure, communication policies, or transaction requirements — we will provide at least 30 days' prior notice to registered users via email or through a prominent notice on the Service. Your continued use of the Service after the effective date of such changes will be subject to the then-current Terms of Use. This version of these Terms of Use shall supersede all earlier versions.

## Legal Notices
Enforcement of these Terms of Use will be governed by Massachusetts law, excluding its conflict and choice of law principles. The exclusive jurisdiction and venue for any claims arising out of or related to these Terms of Use or your use of the Service will lie in the State and Federal courts located in Boston, Massachusetts, and you irrevocably agree to submit to the jurisdiction of such courts. The failure of Maker Marketplace to enforce any right or provision in these Terms of Use will not constitute a waiver of such right or provision unless acknowledged and agreed to by Maker Marketplace in writing. In the event that a court of competent jurisdiction finds any provision of these Terms of Use to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect.

## Arbitration Agreement
ALL DISPUTES CONCERNING OR ARISING OUT OF THESE TERMS OF USE, INCLUDING WHETHER A DISPUTE IS SUBJECT TO ARBITRATION, SHALL BE RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR AND ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA"), USING THE THEN-CURRENT APPLICABLE AAA RULES. THE LOCATION OF THE ARBITRATION SHALL BE THE AAA OFFICE IN BOSTON, MASSACHUSETTS, OR ANOTHER LOCATION IN BOSTON, MASSACHUSETTS CHOSEN BY THE AAA OR THE ARBITRATOR.
THE FEDERAL ARBITRATION ACT, AS IN EFFECT AT THE TIME OF ANY ARBITRATION DEMAND, SHALL APPLY TO ANY ARBITRATION PURSUANT TO THIS AGREEMENT.
THE PARTIES SHALL EACH BEAR THEIR OWN EXPENSES RELATED TO ANY ARBITRATION. THE COSTS OF THE ARBITRATION TRIBUNAL, INCLUDING THE ARBITRATOR'S AND THE AAA'S FEES, SHALL BE SHARED EQUALLY BETWEEN THE PARTIES, REGARDLESS OF WHICH PARTY PREVAILS. EACH PARTY TO THE ARBITRATION SHALL BEAR ITS OWN LEGAL FEES, REGARDLESS OF WHICH PARTY PREVAILS. THE ARBITRATOR SHALL NOT AWARD ANY MULTIPLE OR PUNITIVE DAMAGES, REGARDLESS OF WHICH PARTY PREVAILS. NOTWITHSTANDING ANYTHING TO THE CONTRARY PERMITTED BY THE APPLICABLE RULES OF THE AAA, ANY ARBITRATION PURSUANT TO THIS AGREEMENT SHALL INVOLVE YOU AND MAKER MARKETPLACE ONLY IN THEIR INDIVIDUAL CAPACITIES, SHALL NOT BE CONSOLIDATED WITH ANY OTHER ARBITRATIONS, AND SHALL NOT BE ARBITRATED AS A CLASS OR OTHER FORM OF REPRESENTATIVE ACTION. YOU AGREE NOT TO PARTICIPATE IN ANY ARBITRATION RELATED TO OR ARISING FROM THIS AGREEMENT AS A CLAIMANT OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
ANY ACTION TO CONFIRM AN ARBITRATION AWARD PURSUANT TO THIS AGREEMENT SHALL BE BROUGHT ONLY IN A COURT OF COMPETENT JURISDICTION WITHIN SUFFOLK COUNTY, MASSACHUSETTS. MAKER MARKETPLACE AND YOU AGREE TO SUBMIT TO THE JURISDICTION OF ANY SUCH COURT, WAIVING ANY OBJECTION BASED ON PERSONAL JURISDICTION OR VENUE.
AT LEAST FORTY-FIVE (45) DAYS PRIOR TO EITHER PARTY INITIATING ANY ARBITRATION PURSUANT TO THIS AGREEMENT, THAT PARTY SHALL SEND TO THE OTHER PARTY A WRITTEN DEMAND DESCRIBING THE NATURE OF THE DISPUTE AND SETTING FORTH A PROPOSED RESOLUTION. THE PARTIES SHALL THEN ATTEMPT TO NEGOTIATE IN GOOD FAITH TO RESOLVE THE DISPUTE.
